1. Acceptance of Terms

By accessing or using the PropEdge platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and PropEdge Technologies Inc. ("PropEdge", "we", "us", or "our").

2. Description of Service

PropEdge provides a cloud-based property management platform that enables property managers, landlords, and real estate professionals to manage buildings, units, tenants, leases, maintenance requests, payments, and related property operations. The Service includes web and mobile applications, APIs, and related support services.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

4. Subscription and Payments

Access to the Service requires a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described in your subscription plan
• Provide valid payment information and authorize recurring charges
• Accept that fees are non-refundable except as expressly stated in these Terms
• Acknowledge that we may change pricing with 30 days' notice

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Collect or harvest user data without authorization
• Use the Service for any fraudulent or deceptive purposes
• Resell, sublicense, or redistribute the Service without our written consent

6. Data Ownership and Responsibilities

Your Data: You retain all ownership rights to the data you upload to the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service.

Your Responsibilities: You are responsible for the accuracy and legality of Your Data, obtaining necessary consents from tenants and other individuals whose data you upload, maintaining appropriate backups of Your Data, and complying with all applicable data protection laws.

Our Responsibilities: We will implement reasonable security measures to protect Your Data and will not access Your Data except as necessary to provide the Service or as required by law.

7. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by PropEdge and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand features without our prior written consent. We welcome feedback and suggestions, which we may use without obligation to you.

8. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible. Support is available via email during business hours. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Indemnification

You agree to indemnify, defend, and hold harmless PropEdge and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may request export of Your Data within 30 days of termination. Sections that by their nature should survive termination will remain in effect.

13. Governing Law and Disputes

These Terms shall be governed by the laws of the jurisdiction in which PropEdge is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property violations.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
